Representative Experience

Prior to attending law school, Ms. Sellers received a Master of Science in Taxation.  Her tax background led to her interest in benefits.  As a result, Ms. Sellers regularly advises plans, plan fiduciaries and employers regarding their legal obligations involving the Employee Retirement Income Security Act (“ERISA”).  She helps clients with plan formation, plan administration and governance and plan termination.  In addition, Ms. Sellers has particular experience with multiple employer welfare arrangements including association health plans under the expanded regulations implemented by the Trump administration.  She also provides representation in DOL and IRS audits of qualified and unqualified plans.  Further, Ms. Sellers prepares Qualified Domestic Relations Orders (“QDRO”) and provides advice during the QDRO process.

In her healthcare practice, Ms. Sellers provides counsel to covered entities and business associates on how to comply with the myriad of statutes and regulation on the Health Insurance Portability and Accountability Act’s (“HIPAA”) privacy and security rules including the performance of self-assessments.  She helps clients navigate when there is either a breach or a suspected breach of protected health information (“PHI”).  In addition to her HIPAA practice, Ms. Sellers handles issues involving the Affordable Care Act including minimizing employer mandate penalties and the creation of legally compliant wellness plans.

With her experience in HIPAA privacy and security rules, Ms. Sellers’ practice has expanded into advice on best practices related to EMV technologies and the security of financial transactions.  She helps clients comply with Payment Card Industry Data Security Standards decreasing the risk of fraud liability.

Ms. Sellers also has significant M&A experience.  She has overseen due diligence for multi-million dollar deals and frequently advises whether certain M&A transactions are compliant with Arizona law.  In addition, Ms. Sellers regularly negotiates executive compensation during M&A transactions.

In her corporate practice, Ms. Sellers also advises clients on a wide variety of tax matters including state and local tax issues.  In addition, she helps businesses with corporate formation and governance including the preparation of buy-sell agreements and succession planning.
